Terms of Use

These Terms of Use ("Terms") govern your access to and use of the MeraTheka platform, including its website at app.meratheka.com and all associated services (collectively, the "Platform"). By registering for or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. About the Platform

MeraTheka is a project management platform designed for civil construction firms. It provides tools for attendance tracking, workforce management, task logging, financial records, invoicing, and related functions. The Platform is intended for business use by authorised firm owners and their designated project managers.

2. Eligibility & Account Registration

To use the Platform you must:

• Be at least 18 years of age.
• Register using a valid Google account. Authentication is handled by Google Firebase; you are subject to Google's Terms of Service in addition to these Terms.
• Ensure that all information you provide during registration and use is accurate and up to date.

You are responsible for maintaining the confidentiality of your account and for all activities that occur under it.

3. Authorised Use

You may use the Platform solely for lawful, business-related purposes related to civil construction project management. Specifically, you agree not to:

• Use the Platform to store or process data that belongs to third parties without their consent.
• Attempt to reverse-engineer, decompile, or interfere with the Platform's systems or security measures.
• Use the Platform to transmit spam, malware, or any harmful content.
• Scrape, crawl, or systematically download data from the Platform.
• Impersonate any person or misrepresent your affiliation with any entity.
• Use the Platform in any manner that could damage, disable, or impair its availability.

4. Worker Data & Biometrics

The Platform includes a face recognition attendance feature. By enrolling a worker's face data, the Firm Owner represents and warrants that:

• The worker has been informed that their facial biometric data will be captured and processed.
• Appropriate consent has been obtained from the worker in accordance with applicable law, including the Digital Personal Data Protection Act, 2023 (India).
• The worker data will only be used for legitimate attendance and workforce management purposes.

MeraTheka stores encoded face vectors (numerical representations), not raw facial images, for the purpose of attendance matching. You may delete a worker's face data at any time from the Platform.

5. Firm Owner & Manager Responsibilities

The Firm Owner account has full administrative control. You are responsible for:

• The actions of any Project Manager you invite and assign to your account.
• Ensuring managers are granted only the permissions necessary for their role.
• Promptly revoking access when a manager's engagement ends.

6. Intellectual Property

All software, designs, trademarks, and content on the Platform are the property of MeraTheka or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for your internal business purposes. No ownership rights are transferred to you.

Data you upload (worker records, documents, invoices, photos) remains your property. You grant MeraTheka a limited licence to store and process that data solely to provide the Platform's services.

7. Payments & Subscriptions

Certain features of the Platform may require a paid subscription. Payment processing is facilitated via PhonePe and other authorised payment gateways. Subscription fees, billing cycles, and refund policies will be communicated at the point of purchase. MeraTheka reserves the right to modify pricing with reasonable advance notice.

8. Availability & Maintenance

We strive to maintain high availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We will endeavour to provide advance notice of planned downtime where practicable.

9. Termination

MeraTheka may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or pose a risk to other users or the Platform. Upon termination, your right to access the Platform ceases immediately. You may request an export of your data within 30 days of termination; after that period, data may be permanently deleted.

You may close your account at any time by contacting us.

10. Limitation of Liability

To the fullest extent permitted by law, MeraTheka and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to loss of profits, data loss, or business interruption — even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the amount paid by you to MeraTheka in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. MeraTheka makes no warranties, express or implied, regarding the accuracy, reliability, or fitness for a particular purpose of the Platform or its outputs. See our separate Disclaimer for further detail.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of India.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Continued use of the Platform after changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
